Acceptance of Terms

By creating an account or using the WellKept mobile application or website (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms constitute a legal agreement between you and WellKept (“we,” “our,” or “us”). We may update these Terms from time to time. If we make significant changes, we will notify you through the app or by email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Description of Service

WellKept is a home maintenance tracking application that allows homeowners to log services, manage vendor information, track equipment and warranties, and view spending summaries related to their home maintenance. The Service includes an AI-powered chat agent that processes natural language input to help you create and manage records, as well as an email forwarding feature that lets you forward invoices and receipts to be logged automatically.

WellKept is currently in beta. Features may change, be added, or be removed as we develop the product. During the beta period, the Service is provided free of charge. We may introduce paid features or subscription plans in the future, and will notify you before any charges apply.

User Accounts

To use WellKept, you must create an account with a valid email address and password. You agree to:

• Provide accurate and complete information when creating your account
• Keep your login credentials secure and not share them with others
• Notify us promptly if you believe your account has been compromised
• Be responsible for all activity that occurs under your account

You must be at least 13 years of age to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period (12 months or more), with prior notice.

Your Data and Content

You own your data. All service records, vendor information, home details, notes, photos, and other content you enter into WellKept remains yours. We do not claim ownership of your content.

By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. This includes processing your chat messages through our AI providers (OpenAI and Google Gemini) to extract and structure service information.

You are responsible for the accuracy of the information you enter. WellKept stores your records as you provide them — we do not independently verify service dates, costs, vendor information, or warranty terms.

You can export or delete your data at any time by contacting support@wellkept.me. See our Privacy Policy for details on data retention and deletion.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
• Use the Service to store or transmit malicious code, spam, or harmful content
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or extract data from the Service through automated means
• Impersonate another person or entity
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or commercially exploit the Service without our written permission

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these Terms.

AI-Powered Features

WellKept uses artificial intelligence (OpenAI and Google Gemini) to process your natural language input and structure it into service records. You acknowledge that:

• The AI may occasionally misinterpret your input. Always review confirmation cards before saving records. You are responsible for verifying the accuracy of AI-extracted data.
• AI responses and suggestions (including spending summaries and maintenance recommendations) are informational only and do not constitute professional advice. Consult qualified professionals for specific home maintenance, financial, or legal decisions.
• AI processing requires sending your chat messages to third-party services (OpenAI and/or Google). See our Privacy Policy for details on how this data is handled.

Household Sharing

WellKept allows you to invite other users to join your home as household members. As the home owner, you are responsible for managing access. Household members can view and create service records, vendors, and other home data.

You should only invite people you trust to view and contribute to your home's records. WellKept is not responsible for actions taken by household members you have invited.

Intellectual Property

The WellKept name, logo, design, and underlying software are owned by WellKept and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

You may not copy, modify, distribute, or create derivative works based on the Service or its design without our written permission.

Third-Party Services

WellKept integrates with third-party services to provide its functionality, including OpenAI and Google Gemini (AI processing), Cloudinary (file storage), SendGrid (email forwarding), Railway (database hosting), Sentry (error monitoring), and Vercel (website hosting). Your use of these services through WellKept is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

The Service may contain links to third-party websites or services. We do not endorse or assume responsibility for any third-party content or services.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

• The Service will be uninterrupted, error-free, or free of harmful components
• Data stored in the Service will never be lost (though we take reasonable steps to protect it)
• The AI will always correctly interpret your input or provide accurate suggestions
• Warranty alerts or reminders will be delivered on time or at all

WellKept is a record-keeping tool. It is not a substitute for professional home inspection, legal advice, financial planning, insurance assessment, or any other professional service. Records stored in WellKept are self-reported and should not be relied upon as verified documentation without independent confirmation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLKEPT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless WellKept and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.

Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. During the beta period, features may change frequently as we develop the product. We will make reasonable efforts to notify you of significant changes.

If we discontinue the Service entirely, we will provide you with a reasonable opportunity to export your data before deletion.

Changes to Terms

We may revise these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page. For material changes, we will notify you through the app or by email at least 14 days before the changes take effect.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Charleston County, South Carolina.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
